Welcome to ClassNivo ("Company", "we", "our", or "us"). By accessing or using the ClassNivo Coaching Class Management System ("Service"), you agree to be bound by these Terms and Conditions.

1. Acceptance of Terms

By registering an account, accessing, or using the Service, you agree to comply with and be legally bound by these Terms.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of your coaching institute, school, organization, or business.

3. Account Registration

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate and complete information.
• You are responsible for all activities performed under your account.

4. Subscription and Payments

• Certain features require a paid subscription.
• After a trial, the plan, amount, billing period and payment method are confirmed with the customer before payment is requested; no automatic charge is initiated at trial end.
• Subscription fees and refund eligibility follow the terms confirmed for that subscription and applicable law.
• Failure to make agreed payments may result in suspension or termination of services.
• Prices may change with prior notice.

5. Affiliate Program

• Affiliate applications are subject to review and approval.
• Approved affiliates receive a referral code. A 10% recurring commission is accrued on subscription payments from attributed institutes after ClassNivo confirms receipt.
• Commissions are calculated from recorded subscription payments, and payouts are recorded after payment is sent by ClassNivo.
• ClassNivo may reject applications or deactivate referral codes in cases of fraud, self-referral, or misuse.

6. Customer Data

• You retain ownership of all student, parent, staff, and institute data uploaded to the platform.
• You grant us permission to process such data solely for providing the Service.
• We implement reasonable security measures to protect your data.

7. Acceptable Use

You agree not to:

• Use the Service for illegal activities.
• Upload malicious code, viruses, or harmful content.
• Attempt unauthorized access to systems or accounts.
• Interfere with the operation of the Service.

8. Data Backup and Availability

• We strive to maintain service availability but do not guarantee uninterrupted access.
• Customers are encouraged to maintain their own backups of critical information.
• Scheduled maintenance may temporarily affect availability.

9. Intellectual Property

All software, trademarks, branding, content, and technology associated with the Service remain the exclusive property of the Company.

10. Third-Party Services

The Service may integrate with third-party providers including payment gateways, SMS services, WhatsApp, email providers, video conferencing tools, and cloud hosting services. We are not responsible for third-party service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided on an "as-is" and "as-available" basis.
• The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Total liability shall not exceed the subscription fees paid by the customer during the preceding 12 months.

12. Termination

We may suspend or terminate accounts for:

• Violation of these Terms.
• Non-payment of fees.
• Fraudulent or unlawful activities.

Upon termination, access to the Service may be discontinued.

13. Privacy

Use of the Service is also governed by our Privacy Policy.

14. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the website and become effective upon publication.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Pune, Maharashtra, India.
